European Commission resumes investigation into UMG's Downtown acquisition

The EU’s competition regulator has resumed its investigation into Universal Music Group’s proposed acquisition of Downtown Music.

The European Commission paused its probe into the deal on September 2, while waiting for the companies to provide requested information. In an update, it confirmed it has restarted the process on October 17.

A new deadline of February 6 has been set for their decision, according to an update on the European Commission website.

"We are continuing to work constructively with the European Commission," said a UMG spokesperson. "We are confident that the Commission will recognise the benefits of the transaction for artists, labels, and independent music in Europe, and clear the transaction in a timely manner."

The European Commission launched its original investigation earlier this year.

The  $775 million bid for Downtown Music was made by UMG’s Virgin Music Group in December 2024.

UMG’s deal has prompted a campaign opposing the takeover by parts of the independent sector – while other industry figures have described it as “fearmongering” and defended the deal

Virgin Music Group co-CEOs Nat Pastor and JT Myers have hit back at “irresponsible” comments and said UMG’s market share has been misrepresented.
